Welcome to Majortale Global FZ-LLC. These Terms of Service govern your use of our website, products, and services. By accepting a quotation, entering into an agreement, or making a payment, you agree to comply with these Terms. If you do not agree, please do not use our services.

Majortale – Video Production & Content Agency

These General Terms & Conditions (“Terms”) apply to all quotations, agreements, productions, services, deliverables, and collaborations of Majortale, operating under the legal entity Majortale Global FZ-LLC (“Majortale”, “we”, “us”).

By accepting a quotation, confirming a project in writing, entering into an agreement, approving a production planning, making a payment, or using any deliverable created by Majortale, the client (“the Client”) expressly agrees to these Terms.

01Company Description

Majortale is a strategic video and content agency specialized in video production, photography, content strategy, and post-production.

Our services include, among others, campaign videos, commercials, employer branding content, social media content, event videos, branded content, photography, content planning, editing, optimization, and delivery of audiovisual content.

Majortale delivers creative and strategic services with a focus on quality, efficiency, structured execution, and results-driven content.

All services are legally delivered by Majortale Global FZ-LLC.

02Legal Entity & Applicable Law

As of January 2025, all invoicing and payments are exclusively managed by Majortale Global FZ-LLC, located at Compass Building, CO-WORKING, FDBC3883, Al Shohada Road, Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates.

All agreements are governed by the laws of the United Arab Emirates.

Any disputes fall under the exclusive jurisdiction of the courts of Ras Al Khaimah, United Arab Emirates.

03Quotations, Confirmation & Order of Priority

The content, scope, timing, location, production planning, shoot dates, deliverables, responsibilities, usage rights, and pricing of each assignment are defined in a quotation, written confirmation, email approval, production planning, or Statement of Work.

A project is considered confirmed once the Client accepts a quotation, confirms the project in writing, approves the production planning, makes a payment, or otherwise instructs Majortale to begin work.

In case of conflict between documents, the following order of priority applies, unless explicitly agreed otherwise in writing: first, a signed written agreement or Statement of Work; second, the accepted quotation; third, written confirmations by email or other written communication; fourth, the production planning or call sheet; fifth, the invoice; and finally, these Terms. The portfolio rights in clause 07 can only be overridden by a signed agreement or accepted quotation, not by email or other written communication.

04Payment, Transfers & Bank Fees

All amounts due by the Client must be paid without deduction, discount, withholding, set-off, or bank fee deduction, within the payment term of 30 calendar days as stated on the invoice, unless agreed otherwise in writing.

All invoices are issued in euros (EUR) and are issued without VAT, unless legally required otherwise.

All costs related to payments, transfers, or international banking transactions are entirely and exclusively borne by the Client. This includes bank fees, intermediary or correspondent bank fees, transaction fees, exchange rate costs, administrative fees, and processing fees.

Majortale Global FZ-LLC must at all times receive the full invoiced amount net. If Majortale Global FZ-LLC receives a lower amount than invoiced due to fees, deductions, offsets, withholding, exchange costs, or banking charges, the Client remains fully and immediately liable to pay the outstanding balance.

4a. Advance Payments & Confirmation of Production Dates

Unless agreed otherwise in writing, Majortale may request an advance payment before starting any project, reserving production dates, booking crew, confirming third-party suppliers, or beginning pre-production.

Production dates, shoot days, travel days, preparation days, crew bookings, supplier reservations, and project-related working days are only considered confirmed once the required advance payment has been received by Majortale, unless Majortale explicitly confirms otherwise in writing.

Advance payments are non-refundable, except where explicitly agreed otherwise in writing.

4b. Third-Party Costs & Supplier Commitments

Any third-party costs required for the execution of a project are fully payable by the Client once approved, booked, or committed.

This includes, but is not limited to, freelancers, crew, locations, permits, accommodation, travel, transport, equipment rental, catering, security, track access, footage licensing, music licensing, voice-over artists, actors, models, influencers, translators, photographers, editors, colorists, animators, or other suppliers.

If these costs cannot be cancelled free of charge, they remain fully payable by the Client, regardless of whether the project is cancelled, postponed, reduced, relocated, rescheduled, or changed.

Majortale may request prepayment for third-party costs before confirming such bookings or supplier commitments.

4c. Late Payment

In the event of late payment, Majortale may apply an administrative reminder fee of €50 and late payment interest of 10% per month, unless a different maximum rate applies under mandatory applicable law.

Majortale may also immediately suspend all ongoing and planned services, including production, post-production, delivery, publication, storage, project management, and transfer of files.

Usage rights to all delivered content may be suspended or withdrawn until full payment has been received.

All collection, banking, administrative, and legal costs are entirely borne by the Client. Majortale is not liable for delays, missed deadlines, publication delays, campaign delays, or additional costs caused by late payment or suspended services.

05Collaboration, Duration & Termination

Projects may be agreed on a one-time, campaign-based, monthly, quarterly, annual, or recurring basis.

For recurring collaborations, a minimum duration of three months applies, unless explicitly agreed otherwise in writing.

All payments are non-refundable.

For recurring collaborations, the following notice periods apply unless explicitly agreed otherwise in writing: quarterly agreements require one month’s notice, and annual agreements require three months’ notice.

Termination must be done in writing via [email protected] and is only valid after written confirmation by Majortale.

If termination is not made within the required notice period, the agreement automatically renews under the same terms.

Termination does not affect the Client’s obligation to pay outstanding invoices, confirmed work, already performed work, reserved production days, supplier commitments, third-party costs, or other committed costs.

5a. Expiry of Unused Deliverables

Content that is not approved, published, requested, or used within 90 calendar days after delivery will be considered final.

Unused deliverables not requested within the contract duration expire automatically and cannot be claimed later.

Unused production time, unused shoot time, unused feedback rounds, unused formats, unused deliverables, or unused services cannot be exchanged, transferred, refunded, or carried over unless explicitly agreed otherwise in writing.

5b. Project Timelines

Unless agreed otherwise in writing, projects must be completed within three months from the start date.

Delays caused by the Client automatically extend the project timeline without liability for Majortale. This includes, but is not limited to, late feedback, lack of availability, late decisions, missing materials, missing information, unclear instructions, missing approvals, internal approval delays, or changes in scope.

Work that cannot be completed within the original timeframe due to such delays may lead to rescheduling, adjusted timelines, additional costs, or a new agreement.

Majortale is not liable for missed publication dates, campaign dates, deadlines, or launch dates caused by Client delays or missing input.

5c. Cancellation, Postponement & Reserved Production Days

Once a production date, shoot day, travel day, preparation day, or any other project-related working day has been confirmed, scheduled, or reserved by Majortale, the Client acknowledges that Majortale blocks internal team capacity, freelancers, equipment, production resources, and/or third-party suppliers for that assignment.

Any cancellation, postponement, relocation, rescheduling, or material change requested by the Client after confirmation of the production planning is considered a change to the agreed scope, timing, and planning of the assignment.

Unless explicitly agreed otherwise in writing, cancellation and postponement fees are calculated from the first scheduled production date.

  • If the Client cancels or postpones more than 30 calendar days before the first scheduled production date, Majortale may charge all already incurred costs, committed costs, preparation work, supplier costs, travel costs, administrative costs, and any non-refundable third-party expenses.
  • If the Client cancels or postpones between 30 and 14 calendar days before the first scheduled production date, 50% of the agreed production fee for the affected production day(s) remains payable, in addition to all already incurred costs, committed costs, supplier costs, travel costs, administrative costs, and any non-refundable third-party expenses.
  • If the Client cancels or postpones 14 calendar days or less before the first scheduled production date, 100% of the agreed production fee for the affected production day(s) remains payable, in addition to all already incurred costs, committed costs, supplier costs, travel costs, administrative costs, and any non-refundable third-party expenses.

If Majortale is able to reschedule the production without loss of capacity, supplier costs, travel costs, opportunity cost, or other financial impact, Majortale may, at its sole discretion, reduce or waive part of the cancellation or postponement fee.

Any new date, location, production setup, travel arrangement, or changed scope must be confirmed in writing and may result in additional costs and/or adjusted timelines.

Third-party costs, including but not limited to freelancers, locations, travel, accommodation, permits, equipment rental, catering, transport, production crew, track access, security, footage licensing, and supplier commitments, remain fully payable by the Client if they cannot be cancelled free of charge.

Majortale is not liable for delays, additional costs, or missed deadlines resulting from cancellation, postponement, lack of availability, late decisions, missing information, or changes requested by the Client.

06Scope of Work & Changes

The content, scope, timing, location, production planning, shoot dates, deliverables, responsibilities, and usage rights of each assignment are defined in a quotation, written confirmation, production planning, or Statement of Work.

Any change outside the agreed scope requires written approval by Majortale and may result in additional costs, cancellation fees, postponement fees, supplier costs, licensing fees, usage fees, or adjusted timelines.

Changes outside the agreed scope include, but are not limited to, changes in timing, production dates, locations, deliverables, formats, creative direction, script, storyboard, shot list, required crew, travel, logistics, production setup, post-production requirements, feedback rounds, platforms, usage rights, publication needs, or project planning.

Majortale is not required to perform work outside the agreed scope unless the additional scope, cost, and timing have been confirmed in writing.

07Intellectual Property

All creations, concepts, scripts, storyboards, edits, footage, photographs, project files, methods, processes, formats, templates, workflows, and creative materials remain the property of Majortale until full payment has been received.

After full payment, the Client receives the agreed usage rights for the final deliverables, subject to these Terms and the agreed quotation or Statement of Work.

Majortale retains ownership of its methods, processes, internal documents, workflows, creative systems, formats, production approaches, editing workflows, templates, presets, and know-how at all times.

Portfolio rights. Majortale may use completed work, behind-the-scenes content, stills, excerpts, and project references for portfolio, marketing, case studies, awards, social media, website, sales, and reference purposes. This right can only be limited or excluded by an explicit clause in a signed agreement or accepted quotation, made before the start of the project. Such an exclusion may carry a confidentiality surcharge. Requests made by email or after the project has started do not limit this right.

08Final Deliverables, Raw Footage & Working Materials

Unless explicitly agreed otherwise in writing, final delivery only includes the agreed exported files, formats, and assets as defined in the quotation or Statement of Work.

Raw footage, unedited images, project files, editing timelines, source files, working files, AI prompts, presets, LUTs, templates, methods, production documents, and internal creative materials are not included in the final delivery.

Majortale may choose to provide certain raw or working materials upon request, but this requires written approval and may result in additional costs, licensing conditions, or usage restrictions.

Majortale is not required to provide editable files, project files, raw footage, open files, source files, or internal working materials unless explicitly agreed in writing.

09Usage Rights & Media Licensing

After full payment, the Client receives usage rights only for the deliverables, platforms, territories, duration, and purposes agreed in the quotation or Statement of Work.

Unless explicitly agreed otherwise in writing, usage rights are limited to the Client’s own organic and paid digital communication channels, website, social media, internal communication, sales presentations, recruitment communication, and standard business communication.

Broadcast, cinema, out-of-home advertising, international paid media, resale, sublicensing, third-party use, extended media buying, or use by affiliated companies, distributors, agencies, partners, franchisees, retailers, resellers, or other entities requires prior written approval and may result in additional licensing fees.

The Client is responsible for ensuring that any use beyond the agreed license is approved in writing before publication.

Usage rights are only granted after full payment has been received. Until full payment, no usage rights are granted, even if files have already been delivered.

10Licensed Assets, Talent Rights & Third-Party Materials

Projects may include third-party materials or rights, including but not limited to music, stock footage, archive footage, photography, fonts, voice-over recordings, actors, models, influencers, locations, vehicles, products, trademarks, logos, track footage, motorsport footage, or other licensed materials.

Such rights are limited to the license terms provided by the relevant third party or agreed in writing.

Majortale is not responsible for use by the Client outside the approved license, duration, territory, platform, or purpose.

Any extension, renewal, expansion, or modification of third-party rights may result in additional costs.

11Approval & Liability

Approval of deliverables occurs either in writing or implicitly through use without objection within 7 calendar days after delivery.

After approval, Majortale is not liable for errors, omissions, reputational damage, publication issues, campaign performance, business consequences, or other consequences resulting from the use of the content.

The Client is responsible for checking all deliverables before publication, including names, titles, logos, legal claims, product claims, spelling, subtitles, prices, compliance requirements, technical information, and factual accuracy.

12Limitation of Liability

Majortale does not guarantee specific commercial, marketing, creative, or business results, including but not limited to views, leads, hires, revenue, reach, engagement, conversion, press coverage, audience response, or campaign performance.

Majortale’s total liability is limited to the amount paid by the Client for the relevant assignment.

Majortale is not liable for indirect damages, consequential damages, loss of profit, loss of revenue, loss of opportunity, reputational damage, data loss, publication delays, campaign delays, or third-party claims, unless mandatory applicable law states otherwise.

13Confidentiality

All information, communication, briefings, materials, production documents, business information, creative concepts, pricing, and strategic information shared during the collaboration will be treated as confidential, even after termination of the agreement.

The Client agrees not to share Majortale’s quotations, pricing, methods, production documents, workflows, scripts, concepts, internal documents, or strategic materials with third parties without prior written approval.

Majortale may share necessary information with freelancers, crew, suppliers, partners, or subcontractors when required for the execution of the project.

14Privacy, Data Protection & Storage

Majortale only processes data necessary for the execution of its services and acts in accordance with GDPR where applicable.

Data is stored for a maximum of 3 years after the end of the collaboration, unless legal obligations, operational requirements, or agreed storage arrangements require otherwise.

Majortale may store delivered files, raw materials, and project files for a limited period after delivery, but does not guarantee indefinite storage or availability unless explicitly agreed otherwise in writing.

Retrieving, re-exporting, restructuring, re-uploading, transferring, or adapting archived files after final delivery may result in additional costs.

The Client is responsible for downloading, storing, and backing up final deliverables after delivery.

15Creative Process & Feedback

Majortale retains creative autonomy within the agreed scope.

A standard of four feedback rounds is included, unless agreed otherwise in writing. Additional feedback rounds or scope expansions may be charged separately.

Included feedback rounds are intended for reasonable refinements within the agreed creative direction, script, storyboard, scope, and deliverables.

A revision round does not include a new concept, new creative direction, new script, additional formats, additional deliverables, re-editing based on changed input, or changes caused by missing or incorrect information provided by the Client.

Such changes are considered additional work and may be charged separately.

15a. Feedback, Approval Deadlines & Delivery Shifts

Feedback and approvals must be provided within the agreed feedback windows.

If feedback, approvals, materials, or decisions are provided later than agreed, all delivery dates, publication dates, and project timelines automatically shift accordingly, without liability for Majortale.

Late, incomplete, unclear, contradictory, or unconsolidated feedback may result in adjusted timelines and/or additional costs.

If multiple stakeholders are involved, the Client is responsible for collecting and consolidating all feedback into one clear set of instructions.

15b. Consolidated Feedback & Decision-Making

The Client must appoint one main contact person or decision-maker responsible for collecting, consolidating, and approving feedback.

Majortale is not responsible for delays, additional work, or inconsistencies caused by contradictory feedback, multiple approval routes, unclear instructions, or changes in decision-making authority.

If feedback from different stakeholders conflicts, Majortale may pause work until one clear consolidated direction is confirmed in writing.

16Third Parties, Tools & External Platforms

Majortale may use external tools and platforms such as Frame.io, cloud storage, AI tools, project management tools, file transfer tools, editing tools, hosting platforms, and other production or post-production software.

Malfunctions, downtime, data loss, service interruptions, errors, or limitations caused by third-party tools or platforms are outside Majortale’s responsibility.

The Client is responsible for complying with the terms, policies, technical requirements, and publication rules of any platform on which the content is used or published.

17Responsibilities of the Client

The Client agrees to provide timely feedback and approvals, correct and complete information, all necessary materials, and clear confirmation of production dates, locations, access, permits, logistics, and availability of all required people, vehicles, products, locations, or other production elements.

The Client is responsible for ensuring that all information, claims, product details, trademarks, logos, locations, people, vehicles, products, third-party materials, and brand assets provided to Majortale may legally be used for the intended production and publication.

The Client is responsible for obtaining all required internal approvals, legal approvals, compliance approvals, product approvals, location permissions, participant permissions, and third-party consents, unless explicitly agreed otherwise in writing.

Majortale is not liable for claims, disputes, takedown requests, penalties, reputational damage, or legal consequences resulting from materials, information, approvals, or permissions provided or omitted by the Client.

18Production Conditions, Weather & External Restrictions

Majortale is not liable for delays, additional costs, reduced shoot time, missed shots, or adjusted deliverables caused by weather conditions, location restrictions, permit issues, safety requirements, access limitations, venue rules, third-party availability, traffic, travel disruption, talent or participant unavailability, vehicle or product unavailability, client-side delays, or other circumstances outside Majortale’s reasonable control.

If such circumstances require rescheduling, additional production time, extra crew, extra travel, alternative locations, or adjusted planning, these may result in additional costs and/or adjusted timelines.

19Force Majeure

Majortale is not liable in cases of force majeure, including but not limited to illness, accidents, pandemics, platform outages, governmental measures, strikes, natural disasters, cyber incidents, war, terrorism, transport disruption, power outages, supplier failures, or any other circumstances outside Majortale’s reasonable control.

In such cases, Majortale may adjust timelines, reschedule work, suspend services, or propose an alternative solution without liability for delays or additional consequences.

20Termination for Serious Breach

Both parties may terminate the agreement in case of serious breach of contract, insolvency, fraud, unlawful conduct, or breach of confidentiality.

Outstanding invoices, already delivered services, confirmed work, reserved production days, supplier commitments, third-party costs, and already performed services remain fully payable.

Termination does not grant the Client any additional rights to raw footage, project files, working materials, concepts, or unfinished deliverables unless explicitly agreed otherwise in writing.

21Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation for a period of 30 calendar days.

If no resolution is reached, the parties agree to attempt mediation for a period of 60 calendar days.

If the dispute remains unresolved, the courts of Ras Al Khaimah, United Arab Emirates, shall have exclusive jurisdiction.

23Final Clause

These Terms constitute the full agreement between Majortale and the Client regarding the general conditions of the collaboration and replace all prior oral or written agreements regarding these general terms, unless explicitly agreed otherwise in writing.

If any provision of these Terms is found to be invalid, unenforceable, or unlawful, the remaining provisions remain fully valid and enforceable.

Any deviation from these Terms is only valid if confirmed in writing by Majortale.
