TERMS & CONDITIONS
Majortale – Video Production & Content Agency

These General Terms & Conditions (the “Terms”) apply to all quotations, agreements, services, and deliveries of Majortale, operating under the legal entity Majortale Global FZ-LLC (“Majortale”, “we”, “us”).
By accepting a quotation, entering into an agreement and/or making a payment, the client (“the Client”) expressly agrees to these Terms.
1. Company Description
Majortale is a strategic video and content agency, specialized in, among others:
- Video production (campaigns, commercials, employer branding, social content)
- Photography
- Content and video strategy
- Post-production and optimization
Majortale delivers creative and strategic services with a strong focus on quality, efficiency, and results-driven execution.
All services are legally delivered by Majortale Global FZ-LLC.
2. Legal Entity & Applicable Law
As of January 2025, all invoicing and payments are exclusively managed by:

Al Shohada Road, Al Hamra Industrial Zone-FZ
Ras Al Khaimah, United Arab Emirates
All agreements are governed by the laws of the United Arab Emirates (UAE).
Any disputes fall under the exclusive jurisdiction of the courts of Ras Al Khaimah.
3. Payment, Transfers & Bank Fees
All amounts due by the Client must be paid without any deduction, discount, or withholding within the payment term of 30 calendar days, unless agreed otherwise in writing.
All invoices are issued in euros (EUR) and are issued without VAT.
All costs related to payments, transfers, or (international) banking transactions are entirely and exclusively borne by the Client, including but not limited to:
- Bank fees
- Intermediary or correspondent bank fees
- Transaction fees
- Exchange rate costs
- Administrative or processing fees
Majortale Global FZ-LLC must at all times receive the full invoiced amount net.
If Majortale Global FZ-LLC receives a lower amount than invoiced due to fees, deductions, or offsets, the Client remains fully and immediately liable—without prior notice of default—to pay the outstanding balance.
3a. Late Payment
In the event of late payment, the following measures apply automatically and without prior notice of default:
- Administrative reminder fee: €50
- Late payment interest: 10% per month
- Immediate suspension of all ongoing and planned services
- Immediate withdrawal of usage rights to all delivered content until full payment is received
All collection, banking, and legal costs are entirely borne by the Client.
4. Collaboration, Duration & Termination
Projects may be agreed on a one-time or recurring basis.
For recurring collaborations, a minimum duration of three (3) months applies, unless explicitly agreed otherwise in writing.
All payments are non-refundable.
Notice Periods
- Quarterly agreements: 1 month
- Annual agreements: 3 months
Termination must be done in writing via joost@majortale.com and is only valid after written confirmation by Majortale.
If termination is not made within the required notice period, the agreement will automatically renew under the same terms.
4a. Expiry of Unused Deliverables
- Content that is not approved or published within 90 days after delivery will be considered final.
- Unused deliverables not requested within the contract duration expire automatically and cannot be claimed at a later stage.
4b. Project Timelines
Unless agreed otherwise, projects must be completed within three (3) months from the start date.
Delays caused by the Client (including late feedback, lack of availability, or missing materials or information) automatically extend this period without liability for Majortale.
Work that cannot be completed within the agreed timeframe due to such delays may lead to rescheduling or the requirement of a new agreement.
5. Scope of Work & Changes
The content, scope, timing, and deliverables of each assignment are defined in a quotation or Statement of Work (SOW).
Any changes outside the agreed scope require written approval and may result in additional costs and/or adjusted timelines.
6. Intellectual Property
All creations remain the exclusive property of Majortale until full payment has been received.
After full payment, the Client receives a non-exclusive, non-transferable usage license for business and communication purposes only.
Majortale retains the right to use completed work for portfolio, marketing, and reference purposes, unless explicitly agreed otherwise in writing.
All methods, processes, formats, and workflows remain at all times the intellectual property of Majortale.
7. Approval & Liability
Approval of deliverables occurs:
- Explicitly in writing, or
- Implicitly through use without written objection within 7 calendar days after delivery
After approval, Majortale is not liable for errors, omissions, reputational damage, or business consequences resulting from the use of the content.
8. Limitation of Liability
Majortale does not guarantee specific results, including but not limited to views, leads, hires, conversions, or revenue.
Majortale’s total liability is strictly limited to the invoice amount of the relevant assignment.
9. Confidentiality
All information, communication, and materials shared during the collaboration are considered strictly confidential and remain so even after termination of the agreement.
10. Privacy & Data Protection
Majortale processes only the data necessary for the execution of its services and acts in accordance with GDPR, where applicable.
Data is stored for a maximum period of three (3) years after the end of the collaboration, unless legal obligations require otherwise.
11. Creative Process & Feedback
Majortale retains creative autonomy within the agreed scope of work.
A standard of four (4) feedback rounds is included per project. Additional feedback rounds or scope expansions may be charged separately.
12. Third Parties & Tools
Majortale may use external tools and platforms, including but not limited to Frame.io, cloud storage providers, and AI-based solutions.
Malfunctions, outages, or errors caused by third-party services are outside Majortale’s responsibility.
13. Responsibilities of the Client
The Client agrees to provide:
- Timely feedback and approvals
- Correct and complete information
- All necessary materials required for execution
- Compliance with platform-specific terms and policies (such as social media platforms)
14. Termination for Cause
Both parties may terminate the agreement with immediate effect in case of serious breach of contract, insolvency, or breach of confidentiality.
All outstanding invoices and delivered services remain fully payable.
15. Force Majeure
Majortale is not liable for delays or non-performance due to force majeure, including but not limited to illness, pandemics, platform outages, governmental measures, strikes, or cyber incidents.
16. Dispute Resolution
In the event of a dispute, the following steps apply:
- Negotiation (maximum 30 days)
- Mediation (maximum 60 days)
- Legal proceedings before the courts of Ras Al Khaimah, UAE

18. Final Clause
These General Terms & Conditions constitute the entire agreement between the parties and replace all prior oral or written agreements, understandings, or arrangements.
